Subscriber Contract
Training Course Subscription Agreement
Preamble
Whereas the First Party is a Jordanian commercial company registered with the Ministry of Industry and Trade—Companies Control Department—in the Limited Liability Companies Register under No. (69919), and its objectives include training in the fields of professional development, management, education, and vocational training, as well as providing testing, assessment, and training services for computer usage and software applications; and whereas the First Party conducts training courses—both in-person and remote—utilizing interactive and pre-recorded lecture formats; and whereas the Second Party wishes to subscribe to the training courses conducted by the First Party; the two parties, possessing full legal capacity to contract, have agreed as follows:
Terms and Conditions
1- The preamble to this Contract is deemed an integral part thereof, serving to interpret and supplement its provisions; it shall be read in conjunction with the Contract as a unified whole, without derogating from any of its terms.
First: Obligations and Rights of the First Party:
1- The First Party shall provide specialized medical training programs, either on an individual training course basis (a single course) or as a package of training courses (comprising multiple courses) conducted and executed over a period of one or two months.
2- The First Party undertakes to enable the Second Party to participate in the in-person and/or remote training courses conducted by the First Party, provided the Second Party is registered for such courses and has paid the applicable fees as agreed upon herein.
3- The First Party undertakes to enable the Second Party to participate in any of the training courses included in the selected training package, within the package’s validity period, which shall not exceed two months from the date of subscription.
4- The First Party undertakes to provide the Second Party with a certificate of attendance for the training course in which the Second Party participated, in accordance with the policies and regulations in force at the First Party’s company.
5- The First Party undertakes to submit the name of the Second Party (the trainee) to the relevant Medical, Nursing, or Health Council—or the appropriate national committee, as applicable—upon the Second Party’s successful completion of the training course.
6- Should the Second Party fail to make the required payments, the First Party reserves the right to suspend the Second Party’s access to remote training courses (conducted via modern technology) or to bar them from attending in-person training courses; furthermore, the First Party reserves the right to withhold the submission of the Second Party’s name to the relevant councils and committees for accreditation purposes.
Second: Obligations and Rights of the Second Party:
1- If the Second Party enrolls in training courses under the individual course system, they are obligated to pay the full subscription fee in cash, via bank transfer to the Company’s account, or via CliQ transfer (Alias: Roots5; Bank: Bank al Etihad).
2- If the Second Party enrolls in training courses under the package system, they are obligated to pay the full subscription fee or to make an initial payment of 50% followed by a second payment of 50%.
3- With regard to the above clause, the Second Party acknowledges that their right to attend training courses is limited strictly to the parts for which fees have been paid; they are not entitled to attend any training course unless the subscription fee—or the required portion thereof—has been paid.
Third: Accounting Provisions
1- Both Parties acknowledge that subscription fees are non-refundable under any circumstances; however, they may be credited for a period not exceeding one year from the payment date, subject to a request from the Second Party.
2- In the event of the Second Party’s failure to make required payments, the First Party reserves the right to suspend the Second Party’s access to remote training courses (conducted via modern technology) or to bar them from attending in-person training courses. Furthermore, the First Party reserves the right to withhold the submission of the Second Party’s name to relevant councils and committees for accreditation purposes, and the First Party shall bear no legal liability as a result thereof.
3- The First Party shall be deemed to have fulfilled its obligations toward the Second Party upon the provision of the agreed-upon training courses.
4- The Second Party undertakes to pay a fee of three (3) Jordanian Dinars for the issuance of a paper certificate for each in-person training course. This fee is payable upon the request for the certificate’s issuance, does not include the training course participation fee, and is separate from any other fees due under this Contract.
Fourth: General and Joint Provisions:
1- The parties have agreed that there is no need to exchange any correspondence, notices, warnings, or notifications—whether in writing or via a notary public—between them for the purposes of this Contract.
2- The parties have agreed that the terms and conditions of this Contract shall be governed, construed, and interpreted in accordance with the provisions of the Civil Law, the Commercial Law, and the regulations and instructions in force in the Hashemite Kingdom of Jordan.
3- No amendment or modification to the terms of this Contract may be made unless the Parties agree thereto in writing.
4- The Parties have agreed that all communications between them regarding this Contract and the implementation of its provisions shall be conducted via email or the WhatsApp application, using the numbers specified at the beginning of this Contract.
5- The Parties have agreed that the Amman Court of First Instance (Civil Division) shall have exclusive jurisdiction to hear any dispute, disagreement, or claim arising out of or relating to this Contract, or concerning any breach, termination, or invalidity thereof, or anything stemming from or arising out of this Contract.
6- The addresses of the two parties set forth in the preamble to this Contract shall be deemed the correct and valid addresses for serving any notices, whether judicial or non-judicial; any notice, communication, notification, or formal warning served to them at the said address shall be valid, effective, and productive of all legal consequences.
7- The two parties waive their right to challenge, object to, or deny this Contract or the signatures affixed thereto, and likewise waive their right to demand an oath regarding the veracity of the acknowledgments contained therein.
8- This Agreement consists of (four) clauses, including this clause, and spans three pages. It has been drawn up and signed in the city of Amman in two original copies in the Arabic language, with each contracting party retaining an original copy of equal legal validity.
